1. Introduction

These Terms and Conditions ("Terms") govern your use of WhatsSMS.io (https://whatssms.io), a service provided by Lagash Ltd, a company registered in the United Kingdom with company number SC826467 ("we", "us", "our").

By accessing or using our service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our service.

2. Service Description

WhatsSMS.io provides a platform for sending and receiving SMS and WhatsApp messages through connected Android devices and WhatsApp accounts. The service includes AI chatbot capabilities, automation tools, contact management, and API access.

3. Use with the Shopify App

The WhatsSMS.io Shopify application is offered at no charge to install and use as an integration made available through the Shopify App Store.

A separate WhatsSMS.io product account, API key, and, where applicable, subscription or messaging credits may be required to send messages through the WhatsSMS platform. Fees for the WhatsSMS platform are not Shopify fees and are governed by these Terms and the pricing and billing terms made available by WhatsSMS.io, not by Shopify.

You are responsible for messaging and marketing compliance, including opt-in, consent, unsubscribe, anti-spam, TCPA, PECR, ePrivacy, GDPR, and other laws that apply to your use case. The Shopify app and WhatsSMS.io do not by themselves make a message lawful.

The Shopify app reads and writes Shopify data only as needed to perform the app features you enable, including messaging automations, order notifications, COD confirmations, and mandatory Shopify compliance webhooks. The Shopify merchant is the controller for Shopify store data; Lagash Ltd processes that data as described in our Privacy Policy.

Shopify, the Shopify App Store, and Shopify trademarks are the property of Shopify Inc. or its affiliates. The WhatsSMS.io Shopify app is an independent product and is not sponsored or endorsed by Shopify.

4. Account Registration

To use our service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old to use this service.

5. Acceptable Use

You agree not to use the service to:

  • Send unsolicited messages (spam) to individuals who have not opted in
  • Transmit illegal, harmful, threatening, abusive, or harassing content
  • Impersonate any person or entity
  • Violate any applicable local, national, or international law
  • Interfere with or disrupt the service or servers
  • Attempt to gain unauthorized access to any part of the service

6. Subscriptions and Payments

We offer both free and paid subscription plans. Paid subscriptions are billed monthly. All payments are processed through third-party payment providers. Prices are in USD and are subject to change with reasonable notice. Subscription upgrades take effect immediately and downgrades take effect at the end of the current billing cycle.

7. AI Services

Our AI chatbot features require you to provide your own API keys from third-party AI providers (OpenAI, Google, Anthropic, xAI). We are not responsible for the quality, accuracy, or availability of third-party AI services. You are responsible for complying with the terms of service of your chosen AI provider.

8. Affiliate Program

By participating in our affiliate program, you agree to promote WhatsSMS.io in a truthful and ethical manner. Commission rates, payment terms, and eligibility requirements are subject to change. We reserve the right to terminate affiliate accounts that engage in fraudulent or misleading practices.

Referral attribution—including the use of cookies to associate sign-ups with an affiliate link and the length of the attribution window (for example, 90 days)—is described in our Affiliates Terms.

9. Limitation of Liability

To the fullest extent permitted by law, Lagash Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service. Our total liability for any claims arising from these Terms shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Termination

We may suspend or terminate your account at any time if you violate these Terms. You may terminate your account at any time by contacting us. Upon termination, your right to use the service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or through the service. Continued use of the service after changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms are governed by the laws of the United Kingdom. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
